Terms governing the use of GenNeXT ERP software.

This End-User License Agreement (“EULA”) sets out the general terms on which Innowiz NeoTech LLP licenses GenNeXT ERP software to you (the licensee). Where you have a signed order, quotation or agreement with us, its specific terms take precedence over this page.
Subject to this agreement and payment of the applicable fees, Innowiz NeoTech LLP grants you a non-exclusive, non-transferable, limited licence to install and use GenNeXT ERP solely for your internal business operations, for the modules, users and locations stated in your order.
You may not sublicense, sell, resell, rent, transfer, assign or otherwise commercially exploit the software. Reverse engineering, decompilation or disassembly of the software is prohibited, except to the extent applicable law expressly allows it.
All business data you enter into GenNeXT ERP remains yours. Whether you run it on your own servers or in the cloud, you can export a complete backup of your data at any time.
GenNeXT ERP, including its software, design and documentation, and all associated intellectual property rights remain the sole property of Innowiz NeoTech LLP. This licence does not transfer ownership of the software to you.
Support is provided free of charge during the warranty period stated in your order. After the warranty period, support and updates continue through an Annual Maintenance Contract (AMC), covering on-site, off-site and help-desk telephonic support.
To the fullest extent permitted by law, Innowiz NeoTech LLP is not liable for any indirect, incidental or consequential loss, including loss of profit or data, arising from the use of the software. Our total liability is limited to the licence fees you paid for the software.
This licence remains in effect until terminated. It terminates automatically if you breach its terms. On termination, you must stop using the software and delete all copies in your possession, after exporting any data you need.
This agreement is governed by the laws of India, and the courts at Ahmedabad, Gujarat have exclusive jurisdiction.
